By accessing or using the magiclive.one smart city app, the magiclive.one website, or any associated services (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, please do not use our Services.

magiclive omega (Pty) Ltd (“we”, “us”, “our”) operates the Services globally from South Africa. These Terms govern your relationship with us and set out the rules, restrictions, and limitations for using our Services.

1. Definitions

  • “Services”: The magiclive.one app, website, and all related features and tools.

  • “User” / “you”: Any individual or organisation that accesses or uses the Services, including applicants, partners, and municipal/government users.

  • “Account”: A user profile created on the magiclive.one platform.

  • “Economic-Participation Opportunities”: Grants, loans, employment, training, and community programmes accessible via the platform.

  • “POPIA”: The Protection of Personal Information Act 4 of 2013 (South Africa).

  • “GDPR” / “CCPA” / “NDPR”: The General Data Protection Regulation, California Consumer Privacy Act, and Nigeria Data Protection Regulation, where applicable.

2. Acceptance and Eligibility

By creating an Account, downloading the app, or using any Service, you confirm that:

  • You are at least 18 years old, or have the legal capacity and, where required, parental or guardian consent to enter into these Terms.

  • You apply to the Services primarily from or for use in the Republic of South Africa, unless otherwise stated in a jurisdiction-specific addendum.

  • You accept that these Terms, together with our Privacy Policy (available at https://magiclive.one/privacy), form a binding agreement between you and us.

If you access or use the Services on behalf of a company, government entity, or organisation, you represent that you have the authority to bind that entity to these Terms.

3. Services Description

magiclive.one is a smart-city-and-economic-participation platform that:

  • Aggregates and displays economic-participation opportunities (grants, loans, employment, skills programmes, and community-based services).

  • Provides informational eligibility wizards and match tools to help Users understand and apply to relevant programmes.

  • MAY integrate with partner systems (e.g., Seda, SEFA, Harambee, YES, SASSA-linked programmes, municipal portals) to facilitate applications and verifications.

We do not provide financial advice, investment advice, or legal advice. Our Services are:

  • Informational only (for example, “Class III”-type investment matching is presented as information, not regulated advice).

  • Facilitative only (payment processing is handled solely by third-party payment gateways, not by us directly).

Where required by law (e.g., South Africa\u2019s Financial Sector Regulation Act), we either:

  • Partner with licensed financial-service providers (e.g., Seda, SEFA, Yoco, Payfast), or

  • Structure our role strictly as an information and matching platform, not as a regulated financial intermediary.

4. Account Creation and Management

4A. Registration

To use certain features, you must:

  • Provide accurate, current, and complete information during registration, including name, contact details, and, where relevant, ID or programme-specific details.

  • Maintain truthful and up-to-date information throughout your use of the Services.

You are responsible for:

  • Securing your account credentials (username, password, single-sign-on tokens).

  • Safeguarding your device and any session tokens (e.g., JWT-based tokens and refresh mechanisms integrated into the app).

4B. Account Access and Security

You may not:

  • Share your login credentials or allow others to use your Account.

  • Use automated systems (bots, scrapers) to access the app except where explicitly permitted.

  • Attempt to circumvent security, bypass authentication, or exploit technical vulnerabilities.

We reserve the right to suspend or terminate Accounts without notice where we reasonably suspect fraud, abuse, or violation of these Terms.

5. User Rights and Responsibilities

5A. Your Rights

  • You may access, update, or delete your personal information (subject to applicable data-protection laws and retention obligations) via your Account settings or by contacting our Information Officer.

  • You may opt-out of marketing communications and certain data-processing purposes as described in our Privacy Policy.

5B. Your Responsibilities

You agree to:

  • Use the Services for lawful purposes only.

  • Provide accurate information when applying to programmes or submitting data to partners.

  • Comply with all applicable laws, including POPIA, Consumer Protection Act, ECT Act, and any sector-specific regulations (e.g., B-BBEE, FSR-related requirements where applicable).

  • Not use the Services to engage in fraud, money laundering, or any other criminal activity; harass, threaten, or abuse other Users or staff; transmit viruses, malware, spam, or harmful content; or reverse-engineer or decompile the app or website (except where permitted by law).

You are solely responsible for the consequences of your submissions to government or partner programmes accessed via magiclive.one.

6. Intellectual Property

6A. Our IP

All content, software, designs, logos, and platform features provided by magiclive.one are owned by or licensed to us and are protected by copyright, trademark, and other intellectual-property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to:

  • Access and use the Services for your personal or lawful business purposes.

  • Use informational outputs (e.g., eligibility checks, programme summaries) for your own decision-making, but not for commercial redistribution without our written consent.

You may not:

  • Copy, modify, distribute, sell, or create derivative works from our platform or its underlying code.

  • Remove or alter any copyright, trademark, or other proprietary notices.

6B. Your Content

If you upload, submit, or otherwise provide content, you grant us a non-exclusive, royalty-free, worldwide licence to use, store, and display that content solely for providing and improving the Services, compliance and safety purposes, and analytics and reporting (in anonymised or aggregated form).

You represent and warrant that you have all necessary rights and permissions for any content you provide.

7. User-Generated Content and Community Features

If magiclive.one includes community features (e.g., forums, feedback channels, or public comment sections), you may post content that is lawful, accurate, and non-defamatory. You may not post obscene, hateful, or discriminatory content; infringing material; or personal information about others without their consent.

We reserve the right to remove or moderate any content that violates these Terms or applicable law, and to terminate or suspend Accounts that repeatedly post inappropriate content. We are not responsible for the accuracy or reliability of user-generated content.

8. Payments and Fees

magiclive.one may generate referral fees from partners and display free or paid services, where fees are clearly disclosed in-app or on the website.

  • Payment processing is handled by third-party payment gateways (e.g., Yoco, Payfast, or other licensed providers).

  • We do not store full payment-card details on our systems; payment data is tokenised by the gateway.

By making a payment, you authorise the relevant payment gateway to process the transaction and accept that pricing and fees are subject to change upon notice, in accordance with applicable consumer-protection rules.

9. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which forms part of these Terms by reference. We collect and process personal information in accordance with POPIA, GDPR, CCPA, NDPR, and other applicable laws, and implement reasonable technical and organisational measures to protect your data.

10. Disclaimers and \u201CAs-Is\u201D Basis

THE SERVICES ARE PROVIDED “AS-IS” AND “AS-AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT RESULTS WILL BE ACCURATE OR RELIABLE, OR THAT DEFECTS WILL BE CORRECTED.

We do not guarantee approval into any government or partner programme, nor the accuracy, completeness, or timeliness of eligibility-wizard outputs or programme information. Programme-related decisions are made by the relevant government or partner organisations, not by us.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING UNDER SOUTH AFRICAN LAW, GDPR, AND OTHER APPLICABLE JURISDICTIONS: OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED R10,000,000 (TEN MILLION RAND) PER CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL. THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE.

12. Termination and Suspension

12A. By You

You may stop using the Services at any time and request deletion of your Account and associated data in accordance with our Privacy Policy and applicable data-protection laws.

12B. By Us

We may, at our sole discretion and without prior notice, suspend or terminate your Account or limit your access due to violation of these Terms, fraud, abuse, illegal activity, or technical and security-related reasons.

Upon termination, you must cease all use of the Services. Any outstanding obligations remain due, and we may retain data as required by law or for legitimate business purposes.

13. Third-Party and Partner Relationships

magiclive.one may integrate with or redirect you to government and quasi-government programmes and third-party service providers. Any relationship you have with these third parties is governed by their own terms and privacy policies. We do not endorse, control, or assume responsibility for the content, accuracy, or legality of third-party services accessed via our platform.

14. External Links and Services

The Services may contain links to third-party websites provided for convenience only. We do not control or monitor linked sites and are not responsible for their availability, accuracy, or legality. You access third-party sites at your own risk.

15. Dispute Resolution and Governing Law

15A. Governing Law

These Terms are governed by the laws of the Republic of South Africa, without regard to its conflict-of-laws principles.

15B. Dispute Resolution

If a dispute arises, you must first attempt to resolve it by contacting us via support@magiclive.one or legal@magiclive.one. If unresolved amicably, the parties may proceed to mediation or arbitration in South Africa, or litigate in the South African courts having jurisdiction.

15C. Jurisdiction-Specific Addendums

  • European Union / UK: Certain GDPR- and DSA-related procedures may apply in addition to these Terms.

  • United States: Where state-specific laws apply (e.g., CCPA), those laws may provide additional rights or limitations.

  • Nigeria, Ghana, Kenya, or other African markets: Local-incorporation, data-localisation, and regulatory requirements may be implemented via separate jurisdiction-specific addendums.

16. Indemnification

You agree to defend, indemnify, and hold harmless magiclive.one, its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the Services in violation of these Terms, any breach of representation or warranty, uploading or submission of infringing or unlawful content, or use of the Services in connection with any fraudulent or illegal activity.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via an in-app notification, email (if provided), or other prominent means, and update the Effective Date and version number at the top of this document.

Your continued use of the Services after the changes become effective constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Services.

18. Severability and Waiver

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force.

  • Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and us regarding your use of the Services, superseding any prior agreements or understandings.
